HOXTON

This Internet Trading System (“the System”) must only be used by authorised users. All Users must comply with these Electronic Trading Terms (“the Terms”) at all times.

All references to “Us” shall mean Hoxton Insurance Services. “You” shall mean the intermediary We have authorised to transact business through the System, and which has authorised the User to use the System.

You must ensure that all processes in relation to any Policy or Policyholder are correctly effected through the System. This includes, but is not limited to, effecting cancellations, entering into Policies and obtaining quotes. Any process effected other than through the System will not be valid and will not take legal effect.

You must inform Us in writing of the representatives who are authorised to access and use the System on behalf of the Intermediary (“Users”) and when any User is no longer authorised to access and use the System on Your behalf. Each such notification will take effect from the next business day following receipt of the notification.

Neither You nor any User shall use the System to upload or distribute any files that contain viruses, bugs, corrupted files or any other similar software or programs that may damage the operation of computer hardware or software.

Neither You nor any User shall use any device, software or routine or attempt to interfere with the proper functioning of the System or any transactions being effected through the System.

Neither You nor any User shall use the System to collect or harvest personal information, including any financial information, about anyone whose details can be accessed through the System.

Neither You nor any User shall impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity

Neither You nor any User shall post any misleading, fraudulent, defamatory, obscene or illegal information on this System.

You have been granted a non-exclusive, royalty-free, non-transferable, revocable license to use the System. The System and all information and material including data, images and text is the property of Hoxton Insurance Services and is subject to copyright. All trademarks (registered and unregistered) on the System are the property of Hoxton Insurance Services. No part of the System may be copied or imitated in whole or in part and any retransmission or redistribution of the System or its content may only be done with the express written permission of Hoxton Insurance Services.

We may in Our absolute discretion and at any time agree or refuse to provide access to, or remove the access once provided of, any representative of Yours. Such action will be notified to You.

You and Your Users will comply with these Terms, as amended from time to time, in relation to access and use of the System.

You will indemnify Us for any loss, damage or liability, costs or expenses incurred or sustained by the Us arising from any breach of these Terms by the You or Your Users.

You undertake to comply with the procedures which are from time to time issued by Us in respect of the System.

You undertake to keep Your own systems, used to access the System, up to date at all times with the latest releases of software received from the supplier.

You are responsible for maintaining the confidentiality of the user name and password provided to You and any User, and You are responsible for all activities that occur under Your user name or password or that of any User. You agree to immediately notify Us of any unauthorised use of your or a User’s user name or password or any other breach of security. You and all Users must exit from your account at the end of each session.

You are responsible for the accuracy of all data input or processed by You and Your Users and shall notify Us where You have reason to believe that any data processed by You or Your Users is inaccurate.

You shall indemnify Us for any loss or damage sustained by Us which results from any misuse or corruption of, unauthorised access to, use of or additions or alterations to any data, or any failure to keep the data up to date, unless such misuse, corruption etc. is shown by You to be beyond the control of You or Your Users or agents.

You shall notify Us immediately if You become aware of any misuse, corruption or similar event, as set out above.

We reserve the right to monitor any activity or information transmitted or received through the System.

We shall not be liable for any loss of business, interruption of business, loss of use or of data, lost profits or goodwill, or any indirect or consequential damages of any kind arising out of this agreement. This includes any liability that may arise from third-party claims against You or any User. Nothing in this agreement excludes a party's liability for death or personal injury caused by negligence.

The laws of England and Wales govern this agreement and the courts of England and Wales shall have exclusive jurisdiction over any dispute or claim concerning or arising from this agreement.
